Business Integration & Optimization Manager

Leads high-profile, complex investment assignments. Responsible for ensuring scope alignment and providing advice to teams across the enterprise for the implementation of mergers, acquisitions, joint ventures, and related activities for the company.

Essential Functions

Maintain an awareness of developments and issues, both internal and external/macroeconomic conditions, to the company which impactS investment opportunity analysis and decisions; assess industry prospects by gathering information about growth, competitors, and market share possibilities.

Work with the line-of-business leaders on modeling, business plans, leading comprehensive due diligence teams, and preparing reports required for the investment decision approval process.

Lead deals with potential investments of greater than $15M.

Facilitates the purchase or consolidation of companies from inception to the final merger.

Externally interface with acquisition sources and targets. Take an active role in establishing transition and integration strategies.

Leads due diligence activities including establishing VDR, configuring due diligence lists, coordinating kick-off meetings, and communications.

Collaborate with outside and inside teams to resolve escalated issues arising from due diligence activities.

Proactively seek out and analyze significant investment opportunities, including mergers, acquisitions, new lines of business, or changes in company direction.

Drafts projections, reports, and presentations of the impact of a merger/acquisition on the organization.

May participate in negotiations.

Activities may include:

  • Gathering business and financial information on companies and industries.
  • Analyzing historical financial performance of companies
  • Assessing the business and strategic fit of potential acquisitions, given the company's strategy.

Research the market and internal business to find and leverage patterns.

Evaluate alternate solutions and develops processing systems which includes: cost/benefit analysis and input/output formats.

Together with Corporate Development management, present to the VSP Global CEO as well as members of the VSP Finance Committee and VSP Board of Directors.

Job Specifications

Typically has the following skills or abilities:

Bachelor's Degree in business administration or related field or equivalent experience

Eight years of direct experience in deal management including due diligence activities

Experience in managing multiple due diligence projects and activities

Experience conducting strategic analysis with various frameworks including SWOT (Strengths, Weaknesses, Opportunities, Threats), scenario planning, balanced scorecards, decision trees, financial models, etc.

Experience with financial and risk analysis, making recommendations, and preparing business cases (CBA)

Advanced computer skills associated with financial modeling and analysis database packages, plus statistical analysis

Advanced experience with researching and data gathering methods

Knowledge of project planning techniques

Excellent planning and organizational skills

Effective interpersonal and written communication skills

Must be able to travel up to 5% of the time
